INVOICING/PAYMENT TERMS/LATE PAYMENTS: Smartpoint Solutions will invoice in full, for the Services. Buyer shall pay each such invoice Net 30 days from the date of the applicable invoice. All other amounts due under this order will be invoiced by Smartpoint Solutions and paid by buyer in accordance with the terms of the Agreement. Buyer may not reduce the quantity of Services purchased hereunder, in whole or in part, during the Subscription Period set forth above. Once placed, an order is non-cancelable, and the sums paid nonrefundable, except as otherwise expressly provided in the Agreement if applicable. Any undisputed invoices remaining unpaid after forty-five (45) days shall bear a service charge of the greater of either: (i) one and one-half (1 1/2) per cent per month on unpaid amounts; or (ii) the maximum amount permitted to be charged under applicable law, until payment is received by Smartpoint Solutions in full. In addition, in the event that buyer fails to make any payment when due, Smartpoint Solutions may suspend Subscriber’s access to the Services until full payment has been received and/or terminate this Agreement for cause, if payment is not received within thirty (30) days of notice thereof. In addition, buyer shall pay Smartpoint Solutions’s costs of collection including, but not limited to all outside attorneys’ fees.
COMPLIANCE WITH LAWS: By placing this Order with Smartpoint Solutions, buyer represents and warrants to Smartpoint Solutions that it will comply with all applicable laws and regulations in performing its obligations under the Agreement. Without limiting the generality of the foregoing, Reseller represents and warrants that: (i) the products and Services applicable to this Order are not intended for delivery or use in any countries embargoed or sanctioned under US export or other laws and (ii) the products and/or
Services will not be used in or to assist in the design, development, construction, fabrication, testing, operation, or stockpiling or use of nuclear weapons, materials or facilities, rocket systems or unmanned air vehicles, or chemical or biological weapons, and (iii) the products provided hereunder will not be used by any military or be put to any military end-use.
